1. Agreement and operator
These Terms of Service (“Terms”) apply to the website on which they are displayed, including the online store, customer accounts, product information, documents and support services (together, the “Site”). The Site is operated under the Newt brand by Nanjing Hanxin Pharmaceutical Technology Co., Ltd. (“Newt,” “we,” “us” or “our”).
By accessing the Site, creating an account, submitting an inquiry or placing an order, you agree to these Terms and the policies incorporated into them. If you do not agree, do not use the Site or order products. We may refuse or restrict access when these Terms are not met.
2. Eligibility and qualified buyers
You must be at least 18 years old—or the age of legal majority where you live, if higher—and legally able to enter a binding agreement. Products are supplied only to qualified research buyers, laboratories, institutions and businesses. We may request organization, destination, intended research category or other information before accepting an order.
You must provide complete, accurate and current account, billing, shipping and contact information. You are responsible for protecting your login credentials and for all authorized activity under your account.
3. Research use only
By ordering, you represent that you are qualified to handle the materials, will use appropriate facilities and safety controls, and will comply with every law and institutional rule governing purchase, import, possession, storage, handling, transfer and disposal. You will not relabel, market or represent a product as a drug, food, supplement, cosmetic or medical device.
Newt does not provide medical advice, treatment recommendations, administration instructions or advice concerning human or animal use. Calculators, dosage references, articles and other Site materials are general research references only and do not authorize any prohibited use.
4. Orders and acceptance
An order submission or automated acknowledgement is a request to purchase, not acceptance. We may verify product eligibility, specification, quantity, destination, payment and buyer information before accepting an order. We may refuse, limit, hold or cancel an order for legal, compliance, inventory, pricing, fraud-prevention, payment or suspected-misuse reasons.
A contract is formed only when we confirm acceptance or dispatch the order. If we cancel an order after receiving cleared funds, we will return the amount received for the cancelled item using the original method where reasonably possible, subject to payment-network and cryptocurrency limitations.
5. Product information and documentation
Product images are illustrative. Specifications, packaging, labels and appearance may change without affecting the stated product identity or ordered specification. Confirm the exact product, strength, format and quantity shown in the order summary before payment.
Certificates of analysis, SDS files and other records are product- or batch-specific where stated. General Site content is not a substitute for the document issued for the applicable batch. Minor differences caused by measurement methods, rounding or storage conditions do not automatically establish a defect.
6. Pricing, currency and payment
Prices, discounts, currency conversions, shipping charges and taxes are shown at checkout or in the confirmed invoice. Apparent pricing or description errors may be corrected before acceptance. You are responsible for bank, card, wallet, exchange, network and intermediary fees unless expressly included.
Available methods may include a PayPal invoice sent after review, cryptocurrency payment through Plisio, or other methods enabled at checkout. PayPal invoice orders remain pending until payment is confirmed. Cryptocurrency transactions may be irreversible; you are responsible for using the correct network, address, asset and amount. An unpaid order may expire or be cancelled.
Membership, coupon, payment-method and promotional discounts apply only when their displayed requirements are met. Unless expressly stated, offers cannot be converted to cash and may be changed or withdrawn for future orders.
7. Shipping, customs and returns
Orders are dispatched from our Hong Kong warehouse. Destination eligibility, carrier, route and estimated timing depend on the order and destination. You are responsible for providing a deliverable address and for complying with local import rules.
Our Shipping & Returns Policy forms part of these Terms and explains processing, tracking, customs, address errors, delivery issues, full refunds for unshipped orders and replacement remedies after dispatch.
8. Acceptable use of the Site
You may not misuse the Site, attempt unauthorized access, interfere with security, scrape or harvest data at scale, introduce malicious code, impersonate another person, submit false payment or delivery information, infringe rights, or use the Site to facilitate unlawful or prohibited product use. Automated access requires our prior written permission.
We may suspend or terminate access, cancel pending orders and preserve relevant records when we reasonably believe misuse, fraud, legal risk or a breach has occurred.
9. Intellectual property
The Site, Newt branding, layout, product images, graphics, text, downloads and original content are owned by or licensed to Newt and are protected by applicable intellectual-property laws. We grant you a limited, revocable, non-transferable right to use the Site for legitimate internal purchasing and research evaluation. No other license is granted.
10. Disclaimers
To the fullest extent permitted by law, the Site and products are provided “as is” and “as available.” We do not guarantee uninterrupted Site access, that every product will remain available, or that general educational content is complete for your particular work. Any express specification stated in an accepted order and applicable batch document remains subject to its own stated terms.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
11. Liability and indemnity
To the fullest extent permitted by law, Newt and its officers, employees, affiliates and service providers will not be liable for indirect, incidental, special, exemplary or consequential loss, loss of profit, loss of data, business interruption, or loss arising from prohibited use, improper handling, storage, import, transfer or disposal.
Our aggregate liability arising from a product order will not exceed the amount actually paid to us for the affected product, except where applicable law does not allow that limitation. You agree to indemnify and hold the Newt parties harmless from third-party claims arising from your breach of these Terms, unlawful conduct, prohibited use, or negligent handling or transfer of products.
12. Privacy and third-party services
Our Privacy Policy explains how personal information is handled. Payment processors, carriers, live-chat tools and other third-party services operate under their own terms and privacy policies. Links to third-party sites do not mean we endorse or control them.
13. Applicable law and changes
These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles, except where mandatory law in your jurisdiction applies. Disputes that cannot be resolved informally will be submitted to a competent court in Nanjing, Jiangsu, unless mandatory law requires another forum.
We may update these Terms for future use of the Site or future orders. The effective date identifies the current version. If any provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver.
